1. Acceptance and scope

These Terms govern access to and use of websites, account tools, software and services made available by ShipCarte Inc. By accessing the website, creating an account, requesting or accepting a quote, creating a shipment, or using a ShipCarte service, you agree to these Terms.

If you use ShipCarte on behalf of a company or other organization, you confirm that you have authority to bind that organization. In these Terms, “you” includes that organization and its authorized users.

A signed service agreement, credit agreement, statement of work, accepted quote, carrier tariff or service-specific terms may also apply. Where those documents conflict with these general Terms, the more specific document governs the relevant service or transaction.

2. Accounts and authorized use

You must provide complete and accurate registration, billing and contact information and keep it current. You are responsible for activity completed through your account and for limiting access to authorized users.

Keep credentials confidential, use reasonable security practices and notify ShipCarte promptly if you suspect unauthorized access. ShipCarte may require credential changes, additional verification or temporary account restrictions where needed to protect the account, platform or other users.

You may not use another person’s account without permission, misrepresent your identity or authority, interfere with platform security, scrape or reverse engineer restricted portions of the service, introduce malicious code, or use ShipCarte for unlawful, fraudulent or abusive activity.

3. Quotes, rates and additional charges

Displayed rates and quotes are based on the information available when they are prepared. Unless expressly stated otherwise, a quote is an estimate and may change based on the actual shipment, carrier tariff, fuel surcharge, taxes, duties, exchange rates, address corrections, residential service, waiting time, storage, redelivery, reclassification, dimensional weight or other accessorial services.

You are responsible for entering accurate dimensions, weight, origin, destination, product description, declared value, service requirements and facility conditions. A carrier or operating partner may inspect, measure, weigh or reclassify a shipment and adjust the charge.

Promotional or estimated transit times do not create a guaranteed service unless a written guarantee expressly applies to the selected service and the shipment meets all guarantee conditions.

4. Billing and payment

You agree to pay all charges associated with services requested through your account, including adjustments, taxes, duties, customs charges, accessorials and other amounts for which you are responsible.

Payment timing and available methods depend on your account setup. Charges may be processed when a shipment is created, released, picked up, adjusted or invoiced. You authorize ShipCarte and its payment providers to process amounts using the approved payment method associated with the transaction or account.

Questions about an invoice should be raised promptly with enough detail to identify the transaction and disputed amount. An invoice question does not automatically suspend undisputed payment obligations.

5. Shipment information and documentation

You are responsible for the accuracy and completeness of shipment information, labels, commercial invoices, customs data, dangerous-goods declarations, product classification and any permits or supporting documents.

You must disclose the true contents, quantity, value, condition and handling requirements of the shipment. Do not describe goods in a misleading way or omit information that a carrier, customs authority, warehouse or other provider reasonably requires.

ShipCarte may help prepare documents from the information you provide, but that assistance does not transfer your responsibility for reviewing and approving the information before the shipment moves.

6. Packaging, labelling and preparation

Unless a written service agreement says otherwise, you are responsible for packaging goods so they can withstand normal transportation, handling and storage conditions. Packaging must meet the selected carrier’s requirements and any legal or product-specific standards.

Labels must be accurate, legible and securely attached. Old or conflicting labels should be removed or covered. Pallets, cartons and units must be stable, accessible and ready at the agreed pickup time.

Inadequate packaging, incorrect labels, concealed damage or preparation that does not meet the applicable requirements may result in delay, refusal, damage, additional charges or denial of a claim.

7. Restricted and prohibited goods

You may not tender goods that are illegal, prohibited by the selected carrier, unsafe for the requested service or inconsistent with agreed operating requirements.

Some products—including dangerous goods, alcohol, tobacco, food, pharmaceuticals, healthcare products, temperature-sensitive goods, high-value items and regulated materials—may require prior approval, special packaging, documentation, permits, training or a dedicated service agreement.

Contact ShipCarte before shipping a restricted, regulated, hazardous, perishable or unusually valuable item. Acceptance of one shipment does not guarantee that the same product will be accepted in the future.

8. Carriers and third-party services

ShipCarte coordinates services that may be performed by independent carriers, warehouses, brokers, payment providers, technology providers and other operating partners. Their tariffs, bills of lading, service guides, limitations, schedules and terms may apply in addition to these Terms.

Carrier selection or a displayed service option does not make the carrier an employee or agent of ShipCarte. ShipCarte may communicate with providers, help review options and support an inquiry, but the provider remains responsible for the portion of the service it performs, subject to its applicable terms.

9. Pickup, transit and delivery

Pickup windows, transit times and delivery estimates are affected by location, service, capacity, weather, customs, facility access, recipient availability and other operational conditions. Unless confirmed as a written guaranteed commitment, times are estimates.

You must provide safe and reasonable access at pickup and ensure the shipment is ready. The recipient must be able to receive the shipment and satisfy delivery requirements. Missed pickups, inaccessible locations, refused deliveries, address errors or repeated attempts may create delay and additional charges.

Tracking information reflects data received from carriers and operating partners. A scan or status event may be delayed, incomplete or corrected as the shipment moves.

10. Cross-border shipments

For international or cross-border services, you are responsible for accurate customs and party information, commodity descriptions, values, origin, tariff classification, permits, export controls and any other required data.

You must identify the importer of record, exporter, customs broker and party responsible for duties, taxes and brokerage where applicable. Customs authorities may inspect, delay, reject, seize or assess charges on a shipment.

ShipCarte does not provide legal or tax advice. Guidance from ShipCarte does not replace advice from a qualified customs, legal or tax professional.

11. Cancellation, changes and unused shipments

You may cancel or modify a shipment through available account tools before carrier acceptance, subject to the selected service and provider rules. Some labels, pickups or services may create a charge even if the shipment does not move, particularly where capacity, labour or a pickup has already been committed.

Once a shipment is in transit, changes may be unavailable or may require provider approval and additional charges. Contact ShipCarte promptly if a shipment must be intercepted, redirected or returned.

12. Loss, damage, delay and claims

Inspect delivered goods promptly and retain the shipment, contents, labels and packaging if loss or damage is suspected. Notify ShipCarte as soon as possible and provide photographs, invoices, repair information, proof of value and other documents reasonably required for a carrier or service-provider claim.

Claim eligibility, deadlines, exclusions and recovery limits may be governed by the carrier tariff, bill of lading, declared-value terms, insurance policy or service agreement. Declared value is not automatically the same as insurance.

ShipCarte may assist with claim submission and communication, but cannot guarantee that a carrier, insurer or provider will approve or pay a claim.

13. Intellectual property and platform content

The ShipCarte name, logos, website, software, interface, original text, graphics and related materials are owned by or licensed to ShipCarte and are protected by applicable intellectual-property laws.

ShipCarte grants you a limited, non-exclusive, revocable right to access and use the website and platform for legitimate business or personal shipping purposes. This right does not permit resale, copying of substantial platform content, automated extraction, unauthorized commercial use or creation of a competing product from ShipCarte materials.

You retain ownership of information and content you submit. You authorize ShipCarte to use it as reasonably necessary to provide, secure, support and improve the requested service and to meet legal obligations.

14. Availability and changes to the service

We work to keep websites and account tools available, but access may be interrupted by maintenance, updates, provider outages, security events or circumstances outside our control. Features, integrations, carrier options and workflows may be added, changed or discontinued.

ShipCarte may suspend or restrict access where an account presents a security risk, has overdue balances, violates these Terms, creates legal or operational risk, or uses the service in a way that may harm ShipCarte, a provider or another person.

15. Disclaimers and limitation of liability

To the extent permitted by law, the website and platform are provided on an “as available” basis. ShipCarte does not promise uninterrupted access or that every rate, status, estimate or third-party data point will always be error-free or current.

Liability for transportation, warehousing and related services may be limited by a service agreement, carrier tariff, bill of lading, statute, convention or insurance policy. Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded.

To the extent permitted by law, ShipCarte will not be liable for indirect, incidental, special, punitive or consequential losses—including lost profits, lost sales or loss of data—arising from the website, platform or services. Any other limitation stated in an applicable service agreement or provider term continues to apply.

16. Responsibility for your use

You are responsible for losses, claims, penalties, duties, costs or expenses arising from inaccurate information, prohibited goods, inadequate packaging, unlawful use, unauthorized account activity caused by your failure to secure access, or a breach of these Terms, except to the extent caused by ShipCarte’s own conduct.

17. Governing law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. Unless a binding service agreement provides otherwise, disputes will be brought before the courts located in Ontario.

18. Changes and general provisions

ShipCarte may update these Terms as services, operating requirements or laws change. The current version will be posted with a revised “Last updated” date. Continued use after an update means the revised Terms apply to later use, subject to any notice or consent required by law.

If part of these Terms is found unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver of that right. You may not transfer your account or rights under these Terms without ShipCarte’s consent.
